Kernels Popcorn & Marcel The Shell Contest
Rules and Regulations
The Kernels Popcorn and the Marcel The Shell Contest (the “Contest”) is organized by Kernels Popcorn Limited (the “Organizer”). The Contest begins on July 1st, 2022 (the “Contest Opening Date”), and ends on July 15, 2022 (the “Contest Closing Date”).
1. ELIGIBILITY
The Contest is open to all residents of Canada (excluding Quebec) who have reached the age of majority in their province or territory of residence by the Contest Opening Date, except for employees, agents, mandataries and representatives of the Organizer, its subsidiaries, affiliates, affiliated companies, advertising or promotion agencies, the suppliers of material, prizes and services related to this Contest, and any other stakeholder directly related to the holding of the Contest, as well as the members of their immediate family (father, mother, brothers, sisters, children and legal or de facto spouse) and anyone with whom these employees, representatives and agents reside.
2. HOW TO ENTER
To enter the Contest, the contestant (the “Contestant”) must be a registered Popcorn Perks member. The contestant must like and save the contest post, and follow Kernels Popcorn and Elevation Pictures on the platform and tag a friend.
The Contestant may use their Popcorn Perks card at a Kernels location. Points awarded will be automatically added to the Prize Winner card. The Prize, (defined below) draw, to be held July 18th at 1:00 p.m. 2022, Eastern Standard Time.
3. PRIZE(S)
Six (6) prizes shall be awarded. The Prize winners will be randomly drawn from all eligible entries. Each winner will receive one (1) of the following prizes depending on their location and proximity to a participating Cineplex Theatre playing the Marcel The Shell movie. The ARV for each prize is listed below:

4. CONDITIONS ATTACHED TO THE PRIZE
The prizes must be accepted as awarded and are not transferable or convertible to cash.
The Sponsor reserves the right, in its sole discretion, to substitute alternate prizes of like kind and value for any and all elements of the prizing in this contest, should any element become unavailable for any reason. Decisions by the Sponsor are final and binding regarding all aspects of this contest.
The Run Of Engagement prize consists of one promo code valid for two tickets valid for an entry to the movie MARCEL THE SHELL released in participating Cineplex theaters across Canada on July 15th, 2022.
Guests can redeem their prize on Cineplex.com or the mobile app (easy instructions here: https://www.cineplex.com/promos/promotions)
The prize is available for redemption online and for two tickets only. Offer valid for all performances of MARCEL THE SHELL only, up to $30.50. Any cost beyond $30.50 is the purchaser’s responsibility. If the cost of the ticket is less than $30.50, the balance will not be carried over to another transaction. SCENE® points are not issued on free admission tickets. Tickets for particular theatres/movies are subject to availability. Offer expires August 31, 2022 and may be revoked, terminated, cancelled, or modified at any time without notice. This offer cannot be combined with any other promotion, coupon or discount, and is not valid on past purchases, transferable to any other film, redeemable for cash or credit, or valid for re-sale. Limit of one (1) offer per transaction. ADDITIONAL RESTRICTIONS MAY APPLY. NO SUBSTITUTIONS.
5. DRAW
The draws shall be held July 18th, 2022, Eastern Standard Time, at the offices of Kernels Popcorn Limited, 341 Roselawn Avenue, Toronto, ON, Canada, M4R 1G2. The contest period is July 1st, 2022 - July 15th, 2022 at 11:59 PM ET.
All eligible winners will be contacted via direct message.
6. PRIZE CLAIM
In order to be declared a winner (the “Winner”) of a Prize, the selected Contestant must fulfill the conditions for eligibility and participation and fill in a contest release form* by completing all the compulsory fields. Arrangements will then be made for the Prize winner to receive their prize.
Winners must respond within 24 hours of receiving the notification to claim their prize.
*All winners must sign a release form, releasing Kernels Popcorn Limited and their respective sponsors, affiliates, parents, subsidiaries, directors, officers, employees, agents, their respective advertising and promotional agencies, the suppliers of material, prizes and services related to this Contest, and any other stakeholder directly related to the holding of the Contest from any and all liability arising in connection with the Contest, including, without limitation, liability arising from the acceptance of the Prize as awarded and confirming compliance with Contest rules.
7. INDEMNITIES
(i) HEREBY RELEASE, WAIVE, DISCHARGE AND COVENANT NOT TO SUE Kernels Popcorn Limited and their respective sponsors, affiliates, parents, subsidiaries, directors, officers, employees, agents, respective advertising and promotional agencies, the suppliers of material, prizes and services related to this Contest, and any other stakeholder directly related to the holding of the Contest, as well as, Facebook, Instagram and Twitter (collectively, the “Releasees”), FROM ANY AND ALL LIABILITY ARISING OUT OF, PURSUANT TO, OR AS A RESULT OF THE CARRYING OUT OF THE CONTEST, OR ANY PART OF THE CONTEST, INCLUDING, WITHOUT LIMITATION, LIABILITY ARISING FROM THE ACCEPTANCE OF AND USAGE OF THE PRIZE AS AWARDED, THE ADMINISTRATION OF THE CONTEST AND THE SELECTION OF ANY POTENTIAL WINNERS, WITH THESE OFFICIAL RULES AND REGULATION, AND A CONSENT TO THE ANNOUNCEMENT OF MY OR THE CHILD’S NAME AND THE USE BY THE CONTEST OPERATOR OF MY OR THE CHILD’S NAME, ADDRESS, PHOTOGRAPH OR LIKENESS, VOICE OR STATEMENTS FOR ADVERTISING AND PROMOTIONAL PURPOSES WITHOUT ANY FURTHER COMPENSATION TO THE CHILD AND/OR ME;
(ii) HEREBY AGREE TO INDEMNIFY AND SAVE AND HOLD HARMLESS the Releasees from any Claims and Proceedings directly or indirectly arising from, connected with or relating to the use or enjoyment of the prize. “Claims” means any and all third party losses, damages, personal and bodily injuries, property damage, claims, counterclaims, complaints, disputes, demands, causes of action, liabilities, obligations, damages, reasonable legal fees, costs, expenses, and disbursements (including reasonable legal fees and disbursements as between solicitor and own client) of any nature or kind, whatsoever and howsoever arising, whether known or unknown, whether in law or in equity or pursuant to statute, and whether in any court of law or equity or before any arbitrator or other body, board or tribunal. “Proceedings” means any and all third-party actions, suits, proceedings, and hearings of any nature and kind in any court of law or equity or before any arbitrator or other body, board or tribunal;
(iii) HEREBY ASSUME FULL RESPONSIBILITY FOR ANY RISK OF BODILY INJURY, DEATH OR PROPERTY DAMAGE arising out of or related to the prize, whether caused by the NEGLIGENCE OF RELEASEES or otherwise; and
(iv) HEREBY agrees that this Release extends to all acts of negligence by the Releasees, and is intended to be as broad and inclusive as is permitted by the laws of the Province/Territory in which I or the Child ordinarily reside is conducted and that if any portion thereof is held invalid, it is agreed that the balance shall, notwithstanding, continue in full force and effect
I HAVE READ AND UNDERSTAND THAT BY ENTERING THIS CONTEST I WILL (AMONG OTHER THINGS) WAIVE CERTAIN LEGAL RIGHTS, INCLUDING MY RIGHT TO SUE.
